The information and services available through this website are subject to the following terms and conditions ("Terms of Use"). The Participating CCACs - The Participating CCACs, as hereinafter defined, may revise these Terms of Use at any time and without prior notice. 1. DEFINITIONS In these Terms of Use: "CCAC" means a Community Care Access Centre established pursuant to the Community Care Access Corporations Act, 2001 (Ontario), or its successor from time to time; "Participating CCAC" means a CCAC participating in this website, as may be listed at the end of these Terms of Use, or its successor from time to time; "Service" means any health care, social or other services provided by a Service Provider; "Service Provider" means any person that offers to provide Services to members of the public and who is listed or to be listed on this website; "User" means anyone accessing and using this website, whether a Service Provider, member of the public or other person. 2. SITE LISTING SERVICE This website contains, among other things, a database of health care and social services information that is intended to enable people to make informed choices to improve their quality of life. The information contained in this website may not be appropriate or effective for your circumstances and is not intended as medical, nursing, health care, legal or other professional advice. Inclusion of the names and contact information of health care and social service providers in the database and on this website is free and is not dependent upon the purchase of a membership, products or separate advertising space from any Participating CCAC. The database includes organizations or services primarily located in or serving the areas of the Participating CCACs that can be described as follows: - organizations or programs that provide a direct service to the public (i.e., direct Service Providers); - networks or coalitions of direct Service Providers; - organizations that participate in licensing, planning or coordinating direct services; - organizations licensed by the government or with special contractual agreements to operate long-term care homes, child care centres and certain home care services. Further, the organizations or programs that may be listed in the database may be either not-for-profit or for-profit, either community-based or non-community based, and either government, commercial or other organizations. The taxonomy used to index the services, including the definitions of listed terms, was originally published in the Information and Referral Thesaurus, First Edition, 1996. The Particiapting CCACs have updated and amended many of the terms and is solely responsible for these changes. Except as expressly indicated above, no part of this taxonomy of human services terms and definitions may be reproduced, stored in a retrieval system, or transmitted in any form or by any means, electronic, mechanical, photocopying, recording or otherwise, without the express prior written consent of the Participating CCACs. 3. LISTING UPDATES Each Participating CCAC encourages organizations to make their own record changes or to notify the editorial staff of service changes throughout the year by using the update information option found on all records on this website. The applicable Participating CCAC reserves the right to verify any change with the service provider, but shall have no obligation to do so and no liability for not doing so. The amount of detail, the language used and the presentation of information in describing a service or organization are at the discretion, and subject to the approval, of the applicable Participating CCAC. Changes submitted to the applicable Participating CCAC will not appear automatically or immediately on this website. Listing of an organization or Service in the Information and Referral Database does not indicate that the organization or Service is endorsed by any Participating CCAC, only that, to the best of the applicable CCAC's knowledge, it meets the minimum criteria for inclusion. There is no guarantee that the information contained on this website is up-to-date. 4. NO ENDORSEMENT Inclusion of an organization and information about its programs and services on this website does not imply endorsement by any Participating CCAC nor does exclusion indicate lack of endorsement. Participating CCACs do not investigate any organization listed on the website as to fitness or otherwise. Participating CCACs do not recommend or endorse any Service Provider, and are not responsible for the accuracy or reliability of any information, representation or warranty made by any third party. It is the responsibility of each user to evaluate the accuracy, completeness, or usefulness of any information or content available on or through this website and to confirm this with any Service Providers that the User may select from this site. Users are responsible for taking all precautions necessary to ensure that any content they may obtain from this website is free of viruses or any other destructive programs or code. 5. The Participating CCACs assume no responsibility or liability whatsoever for the content or use of any third-party website. As well, the Participating CCACs make no representation or warranty of any kind regarding any third-party website including, without limitation, any representation or warranty (i) regarding the legality, accuracy, reliability, completeness, timeliness or suitability of any content on such third-party websites, (ii) regarding the merchantability and fitness for a particular purpose of any material, content, software, goods, or services located or discovered at or made available through such third-party websites, or (iii) that the operation of such third-party websites will be uninterrupted or error free, that defects or errors in such third-party websites will be corrected, or that such third-party websites will be free from viruses or other harmful components. In providing links to other websites, the applicable Participating CCAC is not acting as a publisher or disseminator of the material contained on these other websites and does not seek to control the content of, or maintain any type of editorial control over, such websites. LIMITATION OF LIABILITY No CCAC shall have any liability, whether based on contract, tort, strict liability or otherwise, for any direct, indirect, consequential, special damages or other damages arising out of or in any way connected with access to or use of this website, even if the CCAC has been advised of the possibility of such damages, including, without limitation, liability in connection with inaccuracies or omissions in the information contained on the website, or delays in transmission of information to or from the user, interruptions in telecommunications connections to this website or viruses, whether caused in whole or in part by negligence, acts of God, telecommunications failure, theft or destruction of, or unauthorized access to, this website, software, or related information, records or programs. 8. PRIVACY POLICY The User can find further information on the collection, use, communication, and disclosure of their personal data in the applicable Participating CCAC's Privacy Policy. The Privacy Policy is incorporated by reference into this Agreement. 9. JURISDICTION The User expressly agrees that exclusive jurisdiction for these Terms of Use and any issue or dispute relating to this site shall be governed by and be construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of laws principles. If any provision of these Terms of Use is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any of these Terms of Use shall be deemed a further or continuing waiver of such term or condition or any other term or condition. 10. FOR SERVICE PROVIDERS ONLY 10.1 Registration Obligations Each Service Provider must provide the applicable Participating CCAC with certain information ("Registration Data") requested on the registration form; inquiries marked "required" must be answered. The Service Provider represents and warrants that the Registration Data it provides: (i) is true, accurate, current and complete; and (ii) will be maintained and updated by the Service Provider to keep it true, accurate, current and complete. The Service Provider also agrees that the applicable Participating CCAC may send it an email reminding it to update its information. The applicable Participating CCAC reserves the right to terminate the Service Provider's use of the Services provided by the Community Care Resources system and refuse to provide the Service Provider with any and all current or future use of the Services if such CCAC, in its sole discretion, determines that any of the Service Provider's Registration Data is untrue, inaccurate, not current or incomplete. 10.2 Account Security Each Service Provider must select a user name and password to complete the registration process, or apply to the System Administrator for user id and password to access the pre-existing records for addition and update. The Service Provider is responsible for maintaining the confidentiality of its user name and password and is fully responsible for all activities, charges and /or liabilities that occur under its user name and password or account number, whether or not authorized by it. The Service Provider shall immediately notify the applicable Participating CCAC of any unauthorized use of its user name or any other breach of security. No CCAC shall be liable for any loss or damage arising from the Service Provider's failure to comply with this section. 10.3 Service Provider Conduct Each Service Provider acknowledges and agrees that it shall not use the Services to: (i) falsely state, impersonate, or otherwise misrepresent its identity; (ii) transmit or otherwise make available any content or initiate communications which include information that it does not have the right to disclose or make available under any law or under contractual or fiduciary relationships; (iii) make available any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of commercial solicitation; (iv) transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or designed to obtain information from any person without the knowledge of that person. The Service Provider is prohibited from posting or transmitting on or through this website, any unlawful, threatening, libelous, defamatory, obscene, indecent, inflammatory, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offence, give rise to civil liability, or otherwise violate any law or judicial order. In addition, the Service Provider is prohibited from posting or transmitting on or through this website any information which (i) infringes the rights of others or violates their privacy or publicity rights or (ii) is protected by copyright, trademark or other proprietary right, unless with the express written consent of the owner of such right. 10.4 Information Submitted by Service Provider Any material or information that the Service Provider may post, input, upload, provide, submit or transmit to this website (the "Submitted Information") will be treated as non-confidential information. The Service Provider assumes full responsibility and liability for any Submitted Information and represents and warrants that it has all necessary rights, consents and licenses, as applicable, with respect to the Submitted Information. Service Provider hereby grants to the Participating CCACs and other users of this website, a royalty-free, fully-paid up, perpetual, irrevocable license to use such information in connection with the Services offering of such CCACs. Furthermore, the Service Provider agrees that the applicable Participating CCAC retains the right, in its sole discretion, to reformat, excerpt, or translate any materials submitted by the Service Provider. The Participating CCACs do not represent or warrant that any organization will receive referrals from the website. 10.5 Exclusion The applicable Participating CCAC reserves the right, exercisable in its sole discretion, to exclude or remove any organization from the database. Potential grounds for exclusion or removal from the database may include, but are not limited to, service non-delivery, fraud, misrepresentation, discrimination, criminal activities, or operating outside of licensing mandates. Without in any way limiting the generality of the foregoing, the applicable Participating CCAC reserves the right to refuse to list or to discontinue listings for organizations that have had complaints lodged against them with any regulatory body or with other organizations in the database providing similar services, or with such CCAC itself. 10.6 Indemnity The Service Provider irrevocably and unconditionally agrees at all times, to hold harmless, defend, and indemnify each Participating CCAC, its licensors and licensees, and any User of this website (other than the Service Provider), and their respective officers, directors, employees, subsidiaries, contractors, subcontractors, suppliers, agents, partners and affiliates, heirs, legal personal representatives, successors and assigns, and each of them, from and against all liabilities, claims, demands, actions, losses, costs, expenses (including legal fees) and all other liabilities of any nature whatsoever, whether foreseen or unforeseen, that are based upon, or that arise from, or that are in any way connected with (i) any breach of these Terms of Use by the Service provider, (ii) any misrepresentation by the Service Provider made in connection with any representation, warranty or other statement whatsoever contained in these Terms of Use, (iii) any use or misuse of this website and/or the listing services, and (iv) any infringement or violation by the Service Provider of the intellectual property rights, or any other rights, of any person. The applicable CCAC shall have the right to assume exclusive control of any defense of any matter subject to indemnification by the Service Provider, and the Service Provider agrees to cooperate with such CCAC fully in such event. 10.7 Termination The Service Provider's rights under this Agreement terminate automatically if it fails to comply with any of the terms and conditions of this Agreement. No notice is required from a Participating CCAC to effect such termination. Additionally, a Participating CCAC may terminate this Agreement at any time and for any reason and may effect notice of such termination through any means, including but not limited to posting such notice on this website or otherwise publicly proclaiming such termination. Upon termination, the Service Provider must immediately stop using this website including the listing services. 11. COMPLETE AGREEMENT Except as expressly provided in a particular "legal notice" on this website, these Terms of Use constitute the entire agreement between the User and the Participating CCACs with respect to the use of this website and any content or service contained herein.
